​This Power Bank Station Placement Agreement (“Agreement”) is entered into by and between Grab N Go Technology, LLC, a Louisiana limited liability company with a principal place of business at 1615 Poydras Street, Suite 900, New Orleans, Louisiana 70112 (“Provider”), and the business entity submitting this form (“Location”). Provider and Location may each be referred to individually as a “Party” and collectively as the “Parties.”

1. Purpose

The purpose of this Agreement is to authorize Provider to supply, install, operate, and maintain one or more power bank rental stations (“Equipment”) at the Location for use by guests, customers, and patrons of the Location.

2. Term and Termination

This Agreement shall be month-to-month, commencing on the date the Location accepts this Agreement electronically.

Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party (email shall be deemed sufficient notice).

No termination fees, penalties, or liquidated damages shall apply.

Upon termination, Provider shall remove the Equipment from the Location within thirty (30) days of the effective termination date, unless otherwise agreed in writing by the Parties.

3. Equipment Ownership and Installation

Provider shall supply, deliver, install, own, operate, and maintain the Equipment at no cost or financial obligation to the Location.

All Equipment shall remain the exclusive property of the Provider at all times.

Location agrees to provide one (1) standard 110-volt electrical outlet per station for operation of the Equipment.

Provider shall be solely responsible for all technical components of the Equipment, including software, connectivity, payment processing, maintenance, repairs, and battery replacements.

4. Operation and Customer Management

Provider shall retain sole responsibility for all operational aspects of the Equipment, including, without limitation:

• Customer rentals and billing

• Payment processing

• Service inquiries and customer support

• Refunds and dispute resolution

• Charger replacements and inventory management

Location shall have no obligation to staff, monitor, manage, or service the Equipment in any capacity.

4.1 Guest Rental Pricing

Rental pricing to guests shall be established and controlled exclusively by the Provider. Current pricing is as follows:

• $5.00 per hour, or

• $40.00 purchase fee in the event a power bank is not returned

Provider reserves the right to modify guest pricing at its discretion.

5. Rental Reporting

Upon request, Location may obtain a detailed rental activity and revenue report by contacting info@grabngollc.com.

6. Liability and Insurance

Location shall bear no financial responsibility for theft, loss, damage, vandalism, or unreturned charging devices.

Provider shall maintain commercially reasonable insurance coverage applicable to the Equipment and its operations and shall name the Location as an Additional Insured upon written request.

7. Indemnification

Provider agrees to indemnify, defend, and hold harmless the Location, its owners, officers, employees, and agents from and against any and all claims, damages, liabilities, losses, or expenses arising out of or related to:

• Malfunction or failure of the Equipment

• Guest or customer use of the Equipment

• Rental transactions, billing issues, or payment disputes

except to the extent caused by the Location’s willful misconduct or gross negligence.

8. Access

Provider shall be granted reasonable access to the Equipment during normal business hours for purposes of installation, servicing, maintenance, and removal, provided such access does not unreasonably interfere with Location operations.

9. Independent Contractors

The Parties are independent contractors. Nothing contained in this Agreement shall be deemed to create a partnership, joint venture, agency, franchise, or employment relationship between the Parties.

10. Entire Agreement & Electronic Acceptance

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, discussions, or representations, whether oral or written.

To cancel this Agreement, the Location must provide written notice by emailing info@grabngollc.com. The notice must include the Location’s legal business name and physical address. Cancellation shall be effective upon Provider’s receipt of such notice and shall be processed automatically, subject to the terms of this Agreement.
